Job Summary
The Legal Advisor provides expert legal, commercial, and governance support across all Facilities Management operations. The role ensures that contractual, procurement, commercial, and corporate activities comply with internal governance frameworks and applicable legal requirements. It plays a key role in risk management, stakeholder engagement, ethics and compliance, data protection, and the delivery of legally sound business outcomes.
Key Responsibilities
Contractual Risk & Obligations:
- Interpret, draft, review, and negotiate FM-related contracts, including service agreements, subcontractor contracts, AMCs, SLAs, KPIs, NDAs, MOUs, teaming agreements, and JV agreements
- Assess contractual risks and propose solutions aligned with the organization’s risk appetite
- Ensure contractual terms support operational delivery, commercial objectives, and compliance requirements
- Support bidding activities by reviewing RFPs/RFQs, bid submissions, and partnership structures
- Advise on project delivery models, including PPPs and public-sector service contracts
- Engage with clients, partners, government, and quasi-government entities to support business growth and strategic initiatives
- Represent the General Counsel in high-level meetings with internal and external stakeholders
- Work closely with commercial, procurement, finance, HR, and FM operations teams to deliver consistent, compliant, and commercially viable solutions
- Provide legal input during contract handover, mobilization, and operational phases
- Deliver training on contract management, legal compliance, ethics, and procurement processes
- Oversee supplier and subcontractor contracts, ensuring alignment with procurement policies and commercial strategy
- Support negotiations with vendors, service providers, and partners
- Coach procurement teams on legal and contractual best practices

- Manage disputes involving suppliers, employees, clients, and third parties
- Lead evidence gathering, settlement negotiations, and preparation of legal positions
- Instruct and manage external counsel when required
- Lead anti-bribery, anti-corruption, whistle-blower investigations, and due diligence activities
- Oversee supplier compliance programs, including modern slavery assessments
- Deliver ethics and compliance training across the organization
- Provide legal briefings to senior leadership on key risks, opportunities, and regulatory developments
- Support acquisitions, joint ventures, and strategic partnerships
- Manage external counsel relationships and legal budgets
- Contribute to the development of legal strategy, frameworks, and governance systems
- Ensure adherence to Berkeley’s Management System and internal governance frameworks
- Maintain legal registers, contract repositories, and compliance documentation
- Safeguard confidential and sensitive data
Requirements
- Bachelor’s degree in law
- Minimum 8 years’ corporate/commercial legal experience with a reputable international company or a large law firm
- Extensive experience drafting and negotiating a wide range of agreements (NDA, services, JV, MOU, partnering, teaming)
- Proven experience in risk management and commercial advisory
- Strong understanding of commercial, corporate, procurement and contract law
- Expertise in transactional commercial work and FM/ project contracts
- Skilled in drafting complex agreements and leading supply chain negotiations
- Strong written and verbal communication skills
- Excellent management and analytical abilities
- Proactive, detail-oriented and able to work independently with sound judgment
